[1]It should be mentioned that the law of the place of the establishment (or incorporation) of a legal person is practically identical to the law under which it is established (or incorporated).

[2]The reasons why promoters who do business in China prefer to subject their corporation to the law of a different jurisdiction are not always very blameable: the law of China in many aspects in not as stable and creditable as the laws of mature legal systems,and it is believed that it is more expensive and time-consuming to accomplish the act of incorporation in mainland China than that in some foreign jurisdictions.
