Who will be responsible for which task?Given the complexity of this process,misunderstandings or disputes are prone to occur regarding the division of cost,risks and obligations between you and the importer.Fortunately,the International Chamber of Commercehas created a set of standardized terms of trade in 1936,which have evolved into eleven International Commerce Terms Rules,or Incoterms for short and are illustrated in the publication of International Rules for the Interpretation of Trade Terms.The publication was revised in 1953,1967,1976,1980,1990,2000,2010 and most recently in 2020.For example,a proforma invoice would read:FCA 2300 industrial Parkway,Milwaukee,WI 53223,USA,Incoterms 2020.
If you and the importer agree to use an Incoterms 2020 rule in your transaction,making reference to it in your sales contract helps to define clearly your respective obligations and reduce the possibilities of disputes because ample information is available and substantial jurisprudence has accumulated for each through the International Chamber of Commerce arbitration system.An Incoterms 2020 rule defines five aspects of an international sale:
♦Which task will be performed by the exporter?
♦Which task will be performed by the importer?
♦Which activities will be paid by the exporter?
♦Which activities will be paid by the importer?
♦When the transfer of responsibility for the goods will take place?
In applying these rules,please be noted that a few key words used in these rules have a different meaning from their daily usage.For example,“carrier”refers to the party with whom carriage is contracted and who undertakes the obligation of transportation; “delivery”indicates the point where the risk of loss or damage to the goods passes from the exporter to the importer; and “customs formalities”are requirements to be met in order to comply with any applicable customs regulations and may include documentary,security,information or physical inspection obligations.
